3. Payment Terms

3.1 Pricing

All prices are listed in United States Dollars (USD) and are subject to change without prior notice. The final price for any service will be confirmed in writing before work commences.

3.2 Payment Methods

We accept the following payment methods: Visa, Mastercard, Discover, and American Express. All payments must be made in full unless otherwise agreed upon in writing.

3.3 Deposit Requirements

For projects exceeding $500, a 50% non-refundable deposit may be required before work begins. The remaining balance is due upon project completion and prior to final delivery.

3.4 Late Payments

Payments not received within 15 days of the due date may result in a late fee of 5% of the outstanding balance. Services may be suspended for non-payment until the account is brought current.

4. Intellectual Property Rights

4.1 Ownership of Work

Upon full payment for services rendered, all final deliverables, including design files, code, and other creative assets, become the property of the client. E Pay Solutions LLC retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

4.2 Third-Party Materials

Any third-party materials, including fonts, images, software, or plugins used in your project, are subject to their respective licenses. The client is responsible for obtaining any necessary licenses for continued use.

4.3 Company Intellectual Property

All pre-existing materials, code libraries, templates, and proprietary tools used by E Pay Solutions LLC remain our exclusive property.

5. Client Responsibilities

The client agrees to:

• Provide all necessary information, content, and materials in a timely manner
• Review deliverables promptly and provide feedback within agreed-upon timelines
• Obtain all necessary permissions and licenses for any content provided to us
• Ensure that all information provided is accurate and complete
• Cooperate with our team and respond to communications within 48 hours during active projects

6. Project Timeline and Delays

Estimated project timelines are provided as good-faith estimates. Delays caused by client inaction, late feedback, or changes in scope may extend the timeline. E Pay Solutions LLC is not liable for delays beyond our reasonable control, including acts of God, natural disasters, or third-party service interruptions.

7. Revisions and Scope of Work

Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions or changes beyond the original scope of work will be billed at our standard hourly rate of $75 per hour. Any changes to the scope must be agreed upon in writing by both parties.

8. Limitation of Liability

To the maximum extent permitted by applicable law, E Pay Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use of our services. Our total liability shall not exceed the total amount paid by the client for the specific service in question.

9. Disclaimer of Warranties

All services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet all client expectations. While we strive for excellence, we make no guarantees regarding the success or performance of any website or digital asset.

10. Indemnification

You agree to indemnify, defend, and hold harmless E Pay Solutions LLC, its owners, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination of Services

Either party may terminate a project agreement with written notice. In the event of termination, the client shall pay for all work completed up to the termination date. E Pay Solutions LLC reserves the right to terminate services immediately for non-payment, violation of these Terms, or abusive conduct toward our team.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising from these Terms or our services shall be resolved through binding arbitration in Passaic County, New Jersey, unless otherwise required by law. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

2. General Refund Policy

Due to the nature of our digital services and the significant time investment involved in each project, all sales are considered final. 3. Refund Eligibility by Service Type

3.1 Custom Website Development ($250 - $340)

Refund Eligibility: Partial refunds may be considered if we fail to deliver the project as outlined in the project agreement. Refund requests must be made before final delivery. No refunds will be issued after the website has been deployed or after the client has approved the final deliverables. If the project is canceled by the client after work has begun, a refund may be issued minus a percentage equal to the work completed.

3.2 UI/UX Design & Branding Package ($150 - $190)

Refund Eligibility: Refunds may be considered if no work has commenced. Once design concepts have been presented, no refunds will be issued. If the client is dissatisfied with initial concepts, we offer up to three rounds of revisions at no additional cost before a refund becomes ineligible.

3.3 Logo Designs ($80 - $110)

Refund Eligibility: Due to the creative nature of logo design, refunds are only available if no work has begun. Once initial concepts are delivered, the service is considered complete and non-refundable. We offer unlimited revisions within reason to ensure your satisfaction before final delivery.

3.4 Video Production and Editing ($180 - $260)

Refund Eligibility: Refunds are not available once production or editing has commenced. If we fail to deliver the final video within the agreed-upon timeline (excluding delays caused by client), a partial refund may be considered at our discretion.

3.5 Cloud Hosting Deployment & Server Configuration ($120)

Refund Eligibility: This service is non-refundable once deployment has been initiated. Server configuration requires immediate work, and refunds cannot be issued after DNS changes have been made or hosting has been set up.

3.6 AI Tools Consultation ($130)

Refund Eligibility: Consultation fees are non-refundable. If you need to reschedule, we require at least 24 hours' notice to avoid forfeiture of the consultation fee. No-shows or cancellations with less than 24 hours' notice will not be refunded.

3.7 Website Maintenance & Technical Support ($80)

Refund Eligibility: Monthly maintenance fees are non-refundable once the service period has begun. If you wish to cancel your maintenance plan, you must provide written notice at least 7 days before the next billing cycle. Prepaid annual plans may be refunded on a prorated basis minus a 15% administrative fee.
